Madeco S.A. Bylaws

1. INCORPORATION

MADECO S.A. was incorporated by public deed as of April 3, 1944, granted before Notary of Santiago, Mr. Jorge Rojas Gaete. An excerpt of this deed was registered in page 1,099 No. 946 of the Registry of Commerce of Santiago of the year 1944 and published in the Official Gazette on May 4 that year. Its existence was authorized by Decree No. 1,740 of the Ministry of Finance dated April 26, 1944, recorded in page 1,105 No. 947 of Santiago’s Registry of Commerce of the year 1944 and published in the Official Gazette on May 4, 1944. The Company was recorded under the No. 251 of the Registry of the Superintendence of Securities and Insurance on July 20, 1984.

2. AMENDED, CONSOLIDATED AND UPDATED TEXT

The amended, consolidated and updated text of the Company’s bylaws was put into effect by public deed, dated September 6, 2005, executed before the Notary of Santiago, Mr. Sergio Henríquez Silva. An excerpt of it was inscribed in page 33,740 No. 24,075 of Santiago’s Registry of Commerce of the year 2005, noted at the margins of the original social inscription and published in the Official Gazette on September 16, 2005.

3. AMENDMENTS

a. By Public Deed dated May 18, 2007, granted before the Notary of Santiago, Mr. Sergio Henríquez Silva, the Company’s bylaws were amended. An excerpt of the amendment was inscribed on page 20,969 No. 15,333 of Santiago’s Registry of Commerce of the year 2007, noted at the margins of the original social inscription and published in the Official Gazette on May 28 that year.

b. Through Public Deed dated 15 April 2009, made before the Notary of Santiago, Mr. Sergio Henríquez Silva, the Company’s bylaws were amended. An excerpt of that reform was recorded on page 19,429 No. 13,198 of Santiago’s Registry of Commerce of the year 2009, noted at the margins of the original social inscription and published in the Official Gazette on May 7 that year.

c. In Public Deed dated 30 June 2010, made before the Notary of Santiago, Mr. Sergio Henríquez Silva, the Company’s bylaws were amended. An excerpt of that reform was recorded on page 34,931 No. 24,029 of Santiago’s Registry of Commerce of the year 2010, noted at the margins of the original social inscription and published in the Official Gazette on 19 July that year.

d. By Public Deed dated 13 May 2011, made before the Notary of Santiago, Mr. Sergio Henríquez Silva, the Company’s bylaws were amended. An excerpt of that reform was recorded on page 26,141 No. 19,710 of Santiago’s Registry of Commerce of the year 2011, noted at the margins of the original social inscription and published in the Official Gazette on 19 May that year. A complement of that excerpt was recorded on page 30,522 No. 22,939 of Santiago’s Registry of Commerce of the year 2011, noted at the margins of the original social inscription and published in the Official Gazette on 4 June that year.
